BYLAWS OF THE WOMEN’S CLUB OF LAKE JOVITA

ARTICLE 1 – NAMEgavel, auction, law
The name of this club shall be The Women’s Club of Lake Jovita located in the community of Lake Jovita.

ARTICLE II—OBJECT

The object of this club shall be to provide an opportunity for the women of Lake Jovita to meet and socialize. This shall be a non-profit organization.

ARTICLE III – MEMBERS
Section 1 Any woman residing in Lake Jovita or who is a member of the Lake Jovita Golf and Country Club shall be eligible for membership.
Section 2 The dues of members shall be fifty dollars ($50) payable at the time of joining. Dues are by calendar year and shall be paid no later than the date of the January Annual Meeting. Dues are renewable every 12 months. Those who have not paid by the Annual Meeting shall be removed from the membership roster and directory. All eligible ex-members may rejoin at any time.
Section 3 Any member may request a meeting with an officer. The member is required to state the purpose of the meeting.

ARTICLE IV – OFFICERS
Section 1 The Officers of the Club shall be the President, Vice-President, Secretary and Treasurer.
Section 2 The Executive Board shall appoint a Nominating Committee. It shall be the duty of this committee to nominate candidates for the Executive offices to be filled. Nominations from the floor shall be permitted prior to voting at the November meeting.
Section 3 The Executive officers shall be elected by ballot to serve one year.

A. The Executive Officers shall have the option of running a second term.
B. Term limits are set at two consecutive years for the President and Vice
President; however, the Secretary and Treasurer may serve four consecutive years.
C. The election slate shall be completed by October 31, and forwarded to the membership prior to the elections at the November meeting.
D. If there is only one nominee for an office, the vote may be my voice.
E. Should a vacancy occur in one of the Executive offices, the remaining Executive Board shall appoint an interim officer to complete the unexpired term.
F. The term of office shall begin upon installation of the officers at the January Annual Meeting.

Section 4 Duties of Officers
A. The President shall:
1. Preside at all meetings of the Club and the Executive Board.
2. Be the official representative of the Club.
3. Be ex – officio member of all committees except the Nominating Committee.
4. Be a signatory on any necessary official documents.
5. Perform such duties as needed.

B. The Vice-President shall:
1. The Treasurer . Preside in the absence or disability of the President.
2. Assume the office of President if a vacancy occurs in that office
3. Perform such other duties as needed.

C. The Secretary shall:
1. Record the minutes of the meetings of the Club and of the Executive Board.
2. Be a signatory on all official documents.
3. Issue notices as required.
4. Tend to correspondence as directed by the President.
5. Be the Club’s Parliamentarian

D. The Treasurer shall:
1. Be a signatory n all financial documents.
2. Pay all bills.
3. Receive and deposit all funds.
4. Keep an accounting of all receipts and disbursement and submit monthly reports to the Executive Board and to the general membership.
5. Present a year-end financial report to the Club at the January Annual Meeting regarding the dues and expenditures of the prior year.
6. The incoming treasurer shall present the current year budget to the Club by the February Membership Meeting.
7. An independent review of the Club’s financial records shall be completed within 60 days of the close of the fiscal year.

ARTICLE V – EXECUTIVE BOARD
Section 1 Each elected officers shall constitute the Executive Board.
Section 2 The Executive Board shall have general supervision of the affairs of the Club and shall perform such duties as are specified in these Bylaws. The Board shall be subject to the Bylaws of the Club.
Section 3 Requirements for funds must be submitted to and unanimously approved by he Executive Board for expenditures (separate and/or combined) of $500 or more for a single purpose. Each committee shall obtain said approval before any commitment is made to anyone for the payment of funds totaling $500 or more. Approval shall be required regardless of the remainder of funds in a Committee’s budget.

ARTICLE VI – COMMITTEES
Section 1 Each committee shall decide the number of committee members for that committee.
Section 2 A representative of each committee shall meet a least once a month with the Executive Board prior to the general meeting to discuss Club Business. The President and/or the Executive Board may determine other meetings if needed.
Section 3 Any member may request a meeting with an officer. The mem-ber is required to state the purpose of the meeting. The officer is required to notify the other Executive Board members. The meetings will be held at the discretion of the Executive Board.
Section 4 Each committee chairperson shall have an operating budget. The Executive Board sets the budget. Requests for additional funding shall be made to the Executive Board in writing.

ARTICLE VII – MEETINGS
Section 1 The Club will meet on the second Thursday of each month unless otherwise notified.
Section 2 The regular monthly meeting in January will be known as the Annual Meeting and shall be for the purpose of installing officers and transitioning to the new Executive Board.
Section 3 The fiscal year shall be January 1, through December 31, of each year. A budget covering the new year will be developed and presented to the membership for adoption at its February Membership Meeting.
Section 4 Special meetings may be called by the President or the Executive Board. The purpose of the meeting shall be stated in the call.
Section 5 Twenty percent of the members of the Club shall constitute a quorum.

ARTICLE VIII – PRIVACY
All member information shall be keep confidential. The names, addresses, email addresses, telephone numbers and birthdays shall not be shared with any outside parties. Any printed list containing the above data shall be shredded after use.

ARTICLE IX – PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules of Order, Newly Revised shall govern the Club in all cases in which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order the Club may adopt.
